By accessing or using Arkathos (the "Service"), operated by TheApexFrameworkLLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or prominent notice on the Service. Your continued use after changes constitutes acceptance of the updated Terms.
Arkathos is an AI-powered business management platform that provides 16 AI agents for small business operations including finance, CRM, scheduling, HR, marketing, compliance, analytics, and more. The Service is provided on a subscription basis with tiered pricing.
The Service is offered through multiple subscription tiers, each with different features, agent access, and usage limits. Current tier details and pricing are available on our pricing page.
You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period. Downgrading may result in loss of access to certain features or data associated with the higher tier.
You agree not to use the Service to:
Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the data practices described in our Privacy Policy.
We implement commercially reasonable security measures including AES-256-GCM encryption, two-factor authentication, row-level database security, Web Application Firewall (WAF), and comprehensive audit logging. While we use industry-standard practices to protect your data, no system is 100% secure. We cannot guarantee absolute security.
The Service integrates with third-party services including Stripe (payments), Plaid (banking), and SignalWire (SMS). Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
You may delete your account at any time from within the Service. Account deletion triggers permanent removal of all your data within 30 days, including financial records (except as required by law), customer data, AI interaction history, and team member data.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees, or if required by law. We will provide reasonable notice when possible.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEAPEXFRAMEWORKLLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless TheApexFrameworkLLC, its founder, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.
Any dispute not resolved informally shall be resolved by binding arbitration in the State of New Jersey, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
The account owner ("Owner") is solely responsible for all activity that occurs under their account, including actions taken by team members invited by the Owner. The Owner assumes full liability for any data access, modification, or deletion performed by team members within their granted permissions.
The Service provides four access roles: Owner, Manager, Employee, and Viewer. Each role has default permissions that the Owner may customize within each role's maximum capability. The Owner cannot grant a team member more access than the role's maximum allows.
Team members are added through the Owner's invitation system. By accepting an invitation, the team member agrees to these Terms and acknowledges that their activity will be logged. Team members do not hold a direct contractual relationship with TheApexFrameworkLLC; their access is governed by the Owner's account.
The number of team members permitted varies by subscription tier. Upgrading increases the seat limit. Downgrading prevents adding new members until the count falls within the new tier's limit.
All team member actions are individually logged and attributable. Audit log entries are immutable and cannot be deleted by any role, including the Owner. Audit logs are retained for the duration of the account.
The Owner may remove any team member at any time. Removal is effective immediately: active sessions are invalidated and all future access is denied. Audit log entries for removed members are retained.
We collect limited personal data for team members (email, display name, hashed password) solely for authentication. By accepting a team invitation, the team member consents to activity logging including timestamps, actions, resources accessed, IP addresses, and browser identifiers. This logging is required for security compliance and cannot be disabled. See our Privacy Policy for full details.
TheApexFrameworkLLC is not liable for any loss, damage, or unauthorized action resulting from the Owner's decision to invite a team member, the Owner's assignment of permissions, actions taken by a team member within their granted permissions, or the Owner's failure to revoke access when appropriate. TheApexFrameworkLLC does not verify, screen, or guarantee the conduct of team members.
TheApexFrameworkLLC may access customer data solely for providing technical support, resolving service issues, and maintaining platform security. Every access requires typed justification and is logged in an immutable audit trail. We follow the principle of minimum necessary access — only data relevant to the issue being resolved is viewed.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TheApexFrameworkLLC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect.
